By using this ShopJoe.com (“Site” or Shop Joe), you represent and warrant that: (1) all information you submit to us is truthful and accurate; (2) you are at least 18 years of age; and (3) your use of the Site does not and will not violate any applicable law or regulation. When you use this Site, you acknowledge your acceptance of these Terms of Service ("Terms"). If you do not agree with these Terms, please do not use the Site.

We may update these Terms from time to time. Terms are subject to change without notice. Your continued use of the Site after any changes constitutes your acceptance of the updated Terms. Your use of the Site may be terminated without warning if we believe you are in violation of any of these conditions.

By using the Site, you agree to transact electronically. You agree that your electronic signature is the legal equivalent of your manual signature. 1. Mobile Alerts Terms & Conditions

Such messages may include promotional offers, order updates, and other information about our products and services.

All features, content, specifications, products, and prices described or depicted on the Site are subject to change at any time without notice. We make reasonable efforts to accurately display product attributes, including sizes, designs, and colors; however, actual colors may vary depending on your device's display settings, and we cannot guarantee color accuracy.

The inclusion of any product or service on the Site at a particular price does not guarantee availability at that price. It is your responsibility to comply with all applicable local, state, federal, and international laws — including minimum age requirements — regarding the possession, use, and sale of any item purchased from the Site. You acknowledge that:

  2. AI Providers may use data you share in accordance with their own terms and privacy policies.
  3. AI Products may produce unexpected, inaccurate, or inappropriate results.
  4. We do not verify or endorse AI-generated content.
  5. You are solely responsible for any use of or reliance on AI Product outputs.
  6. AI Products are provided "as is" without any warranties.
  7. We are not liable for any damages arising from your use of AI Products.
  8. AI interactions may be logged and retained in accordance with our Privacy Policy. You may contact us at help@shopjoe.com to inquire about the retention of your AI interaction data.

You agree not to submit any of the following to AI Products: sensitive personal information (such as Social Security numbers, financial account numbers, or medical information), confidential business information, third-party proprietary data, or any information you are not authorized to share.

You may opt out of AI-powered features where technically feasible by contacting us at help@shopjoe.com. Note that opting out may limit certain Site functionality.

Use of AI Products may be restricted in certain jurisdictions due to local laws. We reserve the right to modify, suspend, or terminate AI Products at any time without notice or liability.

4. Orders and Price

The information on this Site does not constitute a binding offer to sell products described on the Site. We reserve the right, at any time after receipt of your order, to accept or decline your order or any portion thereof in our sole discretion, even after you receive an order confirmation or after your payment method has been charged. Prices displayed on the Site are quoted in U.S. dollars and are valid only within the United States.

In the event a product is listed at an incorrect price, we reserve the right to refuse or cancel any orders placed at the incorrect price, regardless of whether the order has been confirmed or your payment has been processed. If your payment has already been charged and your order is cancelled, we will issue a full refund to your original payment method.

5. Shipping Limitations

When an order is placed, it will be shipped to the address designated by the purchaser, provided that address complies with the shipping restrictions described on the Site. All purchases are made pursuant to a shipment contract. Risk of loss and title for items purchased pass to you upon delivery to the carrier. You are responsible for filing any claims with carriers for damaged or lost shipments.

6. Promotions and Availability

All promotions offered by Shop Joe apply to purchases shipped within the United States unless otherwise noted. Shop Joe offers services and products in various parts of the world. References to services or products on the Site do not imply that those services or products are available in all locations.

7. Limited Warranty Policy Statement

When you register your powered or non-powered Product with Shop Joe at https://shopjoe.com/register within 60 days of purchase, you will receive an additional 90 days of warranty coverage beyond the standard 2-year manufacturer's warranty. You will also have the option to purchase extended warranty coverage of an additional 1, 2, or 3 years of coverage plans, for up to 3, 4, or 5 years of total Product protection, where applicable. Additional charges apply.

This Warranty does not apply if the Product:

  • Has been used commercially or for non-household or rental applications
  • Was purchased from an unauthorized seller
  • Has sustained cosmetic changes that do not affect performance
  • Has worn parts such as belts, augers, chains, or tines (which may be purchased at shopjoe.com, by chat or by calling 1-866-225-9723)

8. Accuracy of Information

We attempt to ensure that information on the Site is complete, accurate, and current. Despite our efforts, information may occasionally be inaccurate, incomplete, or out of date. We make no representation that all information on the Site is accurate, complete, or current at all times. Products may be unavailable, may have different attributes than listed, or may carry a different price than stated. We reserve the right to limit order quantities, refuse service, or require verification of information prior to accepting or shipping any order. Receipt of an email order confirmation does not constitute our acceptance of an order or our confirmation of an offer to sell.

9. Use of the Site

The design of the Site and all text, graphics, information, content, and other material displayed on or available for download from the Site are owned or licensed by Shop Joe and are protected by copyright, trademark, and other applicable laws. 10. Trademarks

Certain trademarks, trade names, service marks, and logos used or displayed on the Site are registered and unregistered marks of Shop Joe and its affiliates. Other marks belong to their respective owners. Nothing on the Site grants, by implication, estoppel, or otherwise, any license or right to use any mark displayed on the Site without the prior written permission of Shop Joe or the applicable owner.

Creating or maintaining any link from another website to any page on this Site without our prior written permission is prohibited. Displaying the Site or any of its content within frames or through similar means on another website without our prior written permission is also prohibited. Any permitted links must comply with all applicable laws and regulations.

The Site may contain links to third-party websites not owned, operated, or controlled by Shop Joe or its affiliates. Such links are provided solely as a convenience. We are not responsible for any content, materials, or other information located on or accessible from any third-party website, and we do not endorse or make any representations about them. 13. Inappropriate Material

You are prohibited from posting or transmitting any unlawful, threatening, defamatory, libelous, obscene, pornographic, or profane material, or any material that could constitute or encourage criminal conduct or civil liability. We reserve the right, in our sole discretion, to remove any such material from the Site and to take appropriate legal action. We will cooperate with law enforcement authorities or comply with court orders directing us to disclose the identity of anyone posting such material.

Any material, information, suggestions, ideas, concepts, know-how, techniques, questions, comments, or other communications you transmit or post to the Site ("User Communications") will be considered non-confidential and non-proprietary. We may, but are not obligated to, monitor or review User Communications. We will have no liability related to the content of any User Communications. We retain the right to remove any User Communications that we deem inappropriate or unacceptable in our sole discretion.

15. Unsolicited Product Ideas

Shop Joe does not solicit ideas for new products or advertising from third parties. If you submit an unsolicited product idea, you waive any right to compensation for that idea, and the submission becomes the exclusive property of Shop Joe. You are solely responsible for the content of your submission, including its reliability, originality, and copyright. This provision does not apply to consumer reviews with respect to Shop Joe's intellectual property rights in such reviews.

16. Disclaimers

YOUR USE OF THE SITE IS AT YOUR SOLE RISK. THE INFORMATION, MATERIALS, AND SERVICES PROVIDED ON OR THROUGH THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. EXCEPT AS STATED IN OUR CUSTOMER PROMISE, ALL PRODUCTS AND SERVICES PURCHASED THROUGH THE SITE ARE SUBJECT ONLY TO ANY APPLICABLE WARRANTIES OF THEIR RESPECTIVE MANUFACTURERS, DISTRIBUTORS, AND SUPPLIERS. WE EXPRESSLY DISCLAIM ALL LIABILITY FOR PRODUCT DEFECT OR FAILURE, CLAIMS DUE TO NORMAL WEAR, MISUSE, ABUSE, PRODUCT MODIFICATION, IMPROPER PRODUCT SELECTION, NON-COMPLIANCE WITH ANY CODES, OR MISAPPROPRIATION. 17. Limitations of Liability

SHOP JOE ASSUMES NO RESPONSIBILITY AND WILL NOT BE LIABLE FOR ANY DAMAGES TO, OR VIRUSES THAT MAY INFECT, YOUR COMPUTER, TELECOMMUNICATIONS EQUIPMENT, OR OTHER PROPERTY ARISING FROM YOUR ACCESS TO, USE OF, OR BROWSING OF THE SITE, OR YOUR DOWNLOADING OF ANY INFORMATION OR MATERIALS FROM THE SITE.

IN NO EVENT WILL SHOP JOE OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AFFILIATES, SUBSIDIARIES, AGENTS, SUCCESSORS, OR ASSIGNS — NOR ANY PARTY INVOLVED IN THE CREATION, PRODUCTION, OR TRANSMISSION OF THE SITE — BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OF, INABILITY TO USE, OR RESULTS OF USE OF THE SITE OR ANY LINKED SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN THE EVENT OF ANY PROBLEM WITH PRODUCTS OR SERVICES PURCHASED THROUGH THE SITE, EXCEPT AS STATED IN OUR CUSTOMER PROMISE, YOUR SOLE REMEDY IS FROM THE MANUFACTURER OR SUPPLIER IN ACCORDANCE WITH THEIR WARRANTY, OR TO SEEK A RETURN AND REFUND IN ACCORDANCE WITH OUR RETURNS POLICY.

19. Informal Dispute Resolution

Before initiating arbitration or any legal proceeding, the party seeking to resolve a dispute must first provide written notice to the other party describing the nature of the dispute and the relief sought ("Notice of Dispute"). The parties agree to negotiate in good faith for a period of 60 days following receipt of the Notice of Dispute in an effort to resolve the matter informally. If the dispute is not resolved within that period, either party may proceed to arbitration as described in Section 20 below.

20. Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS AND GOVERNS HOW YOU AND SHOP JOE CAN BRING CLAIMS AGAINST EACH OTHER. THIS SECTION WILL, WITH LIMITED EXCEPTION, REQUIRE YOU AND SHOP JOE TO SUBMIT CLAIMS TO BINDING AND FINAL ARBITRATION ON AN INDIVIDUAL BASIS. YOU WILL NOT BE ABLE TO BRING A CLASS, COLLECTIVE, OR REPRESENTATIVE LAWSUIT CONCERNING ANY DISPUTE COVERED BY THIS ARBITRATION AGREEMENT.

You and Shop Joe mutually agree to resolve any disputes between you and Shop Joe, its related and affiliated companies, and/or any current or former employee, officer, or director of Shop Joe or any related or affiliated company arising from your use of the Site and these Terms through binding arbitration rather than in court. You and Shop Joe agree that this Arbitration and Class Action Waiver is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq., and will survive termination of these Terms.

Any revision to or termination of these Terms that modifies or terminates this Arbitration and Class Action Waiver shall not apply to a pending arbitration, or to any claim that accrued or was known to the asserting party prior to such modification or termination, except as required by applicable law.

Initiating Arbitration

To initiate arbitration, the party seeking to pursue a legal dispute must prepare a written demand setting forth the claim(s) and deliver it within the applicable statute of limitations period by hand or first-class mail to the representatives of the other party.

Arbitration shall be administered by the American Arbitration Association ("AAA") before a single arbitrator mutually agreed upon by the parties. If the parties cannot agree within 30 days after arbitrator names have been proposed, the AAA will select a single arbitrator. If you are an individual, the AAA Consumer Arbitration Rules in effect at the time of filing will apply, as modified below: https://www.adr.org/consumer.

Modified AAA Rules

  • Any arbitrator must be neutral to all parties. Standards for recusal shall follow the standards under which trial judges are recused under Delaware state law.
  • No party is entitled to attorneys' fees except as may be awarded consistent with applicable law.
  • Discovery shall be subject to objections available under FRCP 26(b). Broad or widespread collection of documents or ESI is disfavored. If compelling need is demonstrated, production shall be narrowly tailored, sourced from reasonably accessible materials, and produced in a searchable format where feasible. Where the cost and burden of discovery outweighs its benefit, the arbitrator shall deny such requests or condition production on cost advancement by the requesting party.
  • The arbitrator shall have authority to award the same damages and relief available in court under applicable law.
  • Either party may file motions to dismiss or motions for summary judgment.
  • The arbitrator may issue an award or partial award without a hearing where no genuine issue of material fact exists.
  • The Federal Rules of Evidence shall apply to all arbitration proceedings.
  • The arbitrator must issue a written decision summarizing the reasons for the determination and its legal basis.
  • The arbitrator's authority is limited to deciding the submitted case. No arbitration decision shall serve as precedent in other arbitrations except to preclude re-arbitration of the same claim between the same parties.
  • The parties may settle any dispute on a mutual basis without involvement of the arbitrator.
  • You will pay the first $250 in filing, administrative, or hearing fees. Shop Joe will pay all remaining such fees. If Shop Joe initiates arbitration, Shop Joe will pay all fees. You remain responsible for your own attorneys' fees and costs unless applicable law and the arbitrator's award provide otherwise.

Class Action Waiver

Except as otherwise required by applicable law, you and Shop Joe agree to arbitrate disputes only on an individual basis. You waive any right to bring, participate in, or receive relief from any class, collective, or representative proceeding. No arbitrator may: (a) combine more than one individual's claims into a single case without consent of all parties; (b) order or facilitate production of class-wide contact information or notification of others of potential claims; or (c) arbitrate any form of class, collective, or representative proceeding.

21. Choice of Law; Jurisdiction

These Terms supersede any other agreement between you and Shop Joe to the extent necessary to resolve any inconsistency or ambiguity. These Terms will be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflicts of law principles. Any action seeking legal or equitable relief arising out of or relating to the Site or these Terms that is not subject to arbitration will be brought exclusively in the federal or state courts located in Delaware. A printed version of these Terms will be admissible in judicial and administrative proceedings to the same extent as other business documents originally maintained in printed form.

22. Revisions to These Terms

These Terms may be revised at any time. We will post the updated Terms on the Site with a revised effective date. Terms are subject to change without notice. You should review this page periodically. Certain provisions of these Terms may be superseded by legal notices or terms located on specific pages of the Site.

23. Termination

You or we may suspend or terminate your account or your use of the Site at any time, for any reason or no reason. You are personally liable for any orders placed or charges incurred through your account prior to termination. We reserve the right to change, suspend, or discontinue all or any aspect of the Site at any time without notice.
